Terms of service

These master terms govern the FerrLabs account (created on auth.ferrlabs.com) and the use of FerrLabs SaaS products that consume the shared back-office: FerrFlow account features, FerrVault, FerrTrack, FerrGrowth.

Each product may add a short product-specific addendum (linked from its own site). In case of conflict, the product addendum prevails over these master terms only on matters specific to that product (storage limits, throughput, refund window for the product price, …).

1. Acceptance

Creating an account or using a paid plan constitutes full and unconditional acceptance of these terms. If you act on behalf of a legal entity, you confirm you have the authority to bind that entity.

2. Service description

FerrLabs is a portfolio of independent SaaS products sharing a common identity, billing, and admin surface. FerrVault is a secrets manager. FerrTrack is an issue tracker. FerrGrowth is a managed marketing-CMS. FerrFlow is an open-source semantic-versioning CLI; only its account/cloud features are in scope of these terms (the CLI itself is governed by its open-source licence).

3. Account

A single FerrLabs account grants access to every product you have a plan for. You are responsible for the confidentiality of your credentials. You may close your account at any time from app.ferrlabs.com/settings; closure triggers cancellation of all paid plans (no refund of the current period unless required by law) and a 30-day grace period before hard-deletion of your data.

FerrLabs may suspend or terminate an account immediately in case of: serious breach of these terms, payment fraud, abuse of the service, threat to the security or integrity of the platform, or written demand from a competent authority.

4. Pricing, billing, and refunds

Prices are listed on each product's pricing page in EUR, excluding VAT. VAT is added when applicable. Payment is processed by Stripe (see the subprocessors page).

Plans are billed in advance, monthly or annually. By default, plans renew automatically at the end of each period; you can disable renewal at any time from app.ferrlabs.com/settings/billing.

Refund policy: consumers in the EU benefit from the 14-day right of withdrawal (article L221-18 of the French Consumer Code) on the first paid period, provided the service has not been substantially used. By starting to use the service before the end of the 14 days, you expressly waive the right of withdrawal for that period (article L221-28). Business customers are not eligible for the right of withdrawal.

Late payment incurs interest at the legal rate plus a flat indemnity of €40 for business customers (article L441-10 of the French Commercial Code).

5. Acceptable use

You agree not to:

  • Use the service for illegal activities or to store / distribute illegal content;
  • Probe, scan, or test the vulnerability of the service without prior written authorisation (a coordinated disclosure programme is described on the security page);
  • Abuse rate limits or attempt to exceed plan quotas through technical workarounds;
  • Resell, sublicense, or white-label the service without explicit written agreement;
  • Reverse-engineer the service or its proprietary code (except where mandated by law for interoperability);
  • Use the service to send unsolicited communications or to host malware;
  • Violate the rights of any third party, including intellectual property and privacy.

6. Customer data and IP

You retain full ownership of all data and content you submit to the service ("Customer Data"). FerrLabs holds only the limited licence necessary to operate the service: store, transmit, display, back up, and process Customer Data strictly to deliver the contracted functionality.

FerrLabs and its products' source code (other than open-source components) remain the exclusive property of FerrLabs. No right of reproduction or modification is granted beyond normal use of the service.

A data processing agreement governs FerrLabs' role as processor for Customer personal data: see the DPA.

7. Service availability and SLA

FerrLabs targets a monthly availability of [TBD — 99.5% / 99.9%] measured at the public endpoint. Live status: status.ferrlabs.com.

Scheduled maintenance is announced at least 48 hours in advance on the status page, excluding emergency security patches.

Service-level credits, when applicable, are described per product on its pricing page or in the dedicated SLA addendum (Enterprise plans).

8. Liability

To the maximum extent permitted by law, FerrLabs' aggregate liability for any claim arising from or relating to the service is capped at the total fees paid by the customer for the affected product over the 12 months preceding the event triggering the claim. FerrLabs shall not be liable for indirect or consequential damages: loss of profit, loss of revenue, loss of data (where the customer failed to maintain its own backups for products that include export tools), loss of opportunity, reputational harm.

Nothing in these terms limits liability for: gross negligence or wilful misconduct, bodily injury, or any other liability that cannot be excluded by law.

9. Confidentiality

Each party will protect the other's confidential information with at least the same degree of care it uses for its own confidential information, and in any event with reasonable care.

10. Force majeure

Neither party is liable for delay or non-performance caused by force majeure, as defined by article 1218 of the French Civil Code.

11. Term and termination

These terms apply for as long as you have an active account or paid plan with FerrLabs. Either party may terminate for material breach not cured within 30 days of written notice. On termination, FerrLabs will provide a 30-day window for data export.

12. Changes

FerrLabs may amend these terms. Material changes are notified to account holders by email at least 30 days before they take effect. Continued use after the notice period constitutes acceptance.

13. Governing law and jurisdiction

These terms are governed by French law. Any dispute that cannot be resolved amicably will be submitted to the exclusive jurisdiction of the courts of [TBD — city of registered office], save for mandatory consumer-protection rules.

14. Consumer mediation

Pursuant to article L612-1 of the French Consumer Code, consumers may refer a dispute free of charge to the following mediator: [TBD — mediator name, address, website].
